The Singapore Companies Act requires that all companies in Singapore must appoint at least one local company secretary within six months of incorporation. The secretary is responsible for handling on-going statutory compliance matters and ensuring the company is compliant with all regulatory requirements.

  • Provision of a named company secretary

    This includes all mandatory annual procedures. As your named company secretary, we will:

    • Safe custody of the company’s books, records and the company seal/chop (if any)
    • Maintaining annual filing of statutory forms with ACRA and ensuring all fees are submitted correctly and on time
    • Arranging the Annual General Meeting of the company, including sending out required notices to Shareholders.
    • Preparation of minutes and resolutions passed at the Annual General Meeting of the company

    • Creation and maintenance of Register of Registrable Controllers (RORC) at the company’s registered office. From May 2020, the RORC is required to be lodged with ACRA and any changes updated within 2 days of the change. The RORC will be accessible to public agencies in Singapore such as law enforcement agencies. Members of the public will not be able to access the RORC information or purchase any extracts of these lodgements.
    • Creation and maintenance of Register of Nominee Directors. This register must be maintained at the company’s registered office and be available for inspection by ACRA on request.
  • Other roles and services
    • Providing resolutions of the company for corporate actions such as opening a bank account, entering into contracts with suppliers and customers, changing office holders etc.
    • Providing information and guidance on any relevant changes in statutory law

What are the essential prerequisites of a corporate secretary?

Under Section 171(1AB), the Company Secretary of a public company must possess at least one of the following qualifications:

  • A qualified person under the Legal Profession Act (Cap. 161)
  • An accountant registered with the Institute of Certified Public Accountants of Singapore
  • A member of the Singapore Association of the Institute of Chartered Secretaries and Administrators or possess such academic or professional qualifications as may be prescribed, and is capable of discharging the function of Secretary of the company
What are the duties of the company secretary?

The duties of the company secretary may be divided generally into three main areas:

  • Maintaining statutory registers
  • Completing and filing statutory forms, meeting minutes, and resolutions
  • Filing returns with ACRA
Are the documents available for public inspection?
For private limited companies, documents such as accounts, debentures, names of directors, share capital, and particulars of any legal charges are not open to public inspection. However, some documents are available for inspection to shareholders.
Where will the first and subsequent board meetings of directors have to be held?
Anywhere. However, in order for the company to be considered as a tax resident in Singapore, the tax comptroller requires board meetings or at least the substantive meetings to be held in Singapore.
